Terms and Conditions of Sale:

The following terms and conditions, together with our Privacy Policy, apply to any products that you may purchase from our website groceries.morrisons.com or through our mobile app, Morrisons Grocery (together the "Website").

Please read all of these terms and conditions carefully. By using the Website or submitting an order (or any future orders), you are agreeing to be bound by them.

These terms and conditions apply to sales to consumers and business customers (where applicable). Section A will apply if you are a consumer and Section A and B will apply if you are a business customer.

SECTION A: GENERAL TERMS

1.

Your Account

Registration

1.1
To be able to order products from our Website, you must be 18 years or older and have completed the process to register an account.
1.2
You will be asked to enter some personal information which shall be processed in line with our Privacy Policy and you are responsible for ensuring that all of the information you provide to us is true and accurate. Personal information may be updated at any time by logging into your account and updating the "Account Settings" section.

Card Details

1.3
You will also be required to provide credit, debit or charge card details during the registration process. To ensure that your card is not being used without your consent and to verify that you are over 18 years of age we may carry out certain identity, credit and fraud checks against third party databases. By accepting these terms and conditions you consent to such checks being made and we reserve the right to change our checks from time to time.
1.4
We reserve our right to suspend the registration process at our discretion at any time if we consider that our checks have not been satisfied in full.

Account Use

1.5
You are entirely responsible for all activity on your account, including all orders that are placed from your account. We reserve the right to suspend or cancel your account immediately at our reasonable discretion.
1.6
If you are required to create a password as part of our security procedures during the registration process, you must treat such information as confidential and you must not disclose it to any third party.
2.

Ordering products and Contract Formation

Your contract with us

2.1
Once you have placed an order on the Website by clicking "Place Order", we will send you an automated message which will be shown to you on the Website immediately after you have placed your order. This is not an order confirmation or acceptance from us.
2.2
We will then send you a confirmation email to confirm that your order is being processed by us. Again, this is not acceptance of your order.
2.3
Finally, we will send you an email receipt for your order confirming the products for delivery or collection, including any substitutes. At this point, we have accepted your order and a legally binding contract is formed between you and us.

Minimum Order Value

2.4
We normally require your total order (including any amendments) to equal or exceed £25 excluding delivery charges, otherwise we will not accept or will cancel your order.
2.5
If you are using a money off voucher, purchases of drugs, pharmaceutical products, infant milk or formula will not contribute to your minimum order value. (For more information on vouchers, see our Voucher Terms and Conditions).
2.6
We restrict sales of any one individual product online to a maximum of 18 items in order to protect availability for all our customers.

Age Restricted Products

2.7
If you have ordered alcohol from us, it is your responsibility to ensure that the person accepting delivery or collecting the order is over 18.
2.8
We follow a "Challenge 25" policy for the purchase of alcohol and other age-restricted products such as vaping products, cigarettes and aerosols. If the person accepting your delivery (or picking up a collection) appears to be under the age of 25, we will request photo ID to prove that they are over the age of 18 and can lawfully purchase such products.
2.9
If we are not satisfied that the person accepting delivery is over the age of 18, then we may not hand over your delivery. At our discretion, we may remove the age-restricted products and hand over the remainder of your delivery.
3.

Delivery

Delivery Details

3.1
We will endeavour to deliver your order to you in accordance with your booked delivery date and timeslot. However, we cannot always guarantee that we will do so due to factors beyond our reasonable control. If that is the case, we will try to contact you as soon as we are able to in order to reschedule your delivery timeslot and date.
3.2
We will deliver to the address specified by you when you register an account with us. We may restrict deliveries in certain areas or remove certain areas from our delivery schedule altogether but we will always make this clear to you during our "checkout" process.
3.3
Deliveries are limited to one delivery per day per account.
3.4
Risk of loss and damage of products passes to you at the time the products are delivered to you or are left with a person or in a place nominated by our driver or you, or they have been collected from a valid collection point. We will not be responsible for any loss or damage caused to the products after delivery or collection.
3.5
Title to the products shall pass to you once we have received payment in full and cleared funds for the products.
3.6
Products are sold by us subject to availability and prevailing market conditions. If we limit the quantities of products delivered to any one customer or a product is not available, we may offer a reasonable substitute. We will identify each substitute item to you on delivery and give you the opportunity to accept or reject each one at that time. If you reject a substitute we will not charge you for it and will return it at our own cost. If you accept a substitute we will charge you the price applicable at the time we pick your order for you.

Missed Deliveries

3.7
It is your responsibility to ensure that someone is available at your delivery address at all times during your booked timeslot. We may require someone to sign for your order on delivery and this person must be over the age of 18.
3.8
If nobody is at home when we attempt delivery, or the person at home is unable to satisfy our identification requirements or age requirements, we will try to contact you by telephone. If we cannot do so, we will leave notice of attempted delivery and will try to contact you to rearrange the delivery. We will not leave your order unattended at your address.
3.9
In some exceptional circumstances, we may agree to leave your order with a neighbour, but this is done at your own risk and we will not be responsible for any losses you may incur.
3.10
If your order is returned because we failed to deliver it to your delivery address within your booked timeslot due to our fault, where we manage to make contact with you and agree a revised delivery date and timeslot, we will redeliver your order to you at no additional cost.

Port of Penzance service

3.11
By making Click and Collect orders via our Port of Penzance service, you agree to us handing over your shopping to your nominated third party shipping representative in the Port of Penzance, who will be directly responsible for delivering your order to you. You agree that the sale is concluded when Morrisons hands over your order to your nominated shipping representative. After this point, Morrisons does not accept any liability for the transport of your order from your nominated shipping representative to you. All of our standard terms and conditions still apply.
4.

Product Information

4.1
The product information contained on our Website has been published in good faith and we endeavour to ensure that it is accurate. Where information is incorrect due to an error or circumstances beyond our control, we reserve the right not to accept your order for the affected products, or if your order has already been accepted, not to supply the affected products to you. We will notify you if this is the case and will not charge you for the product.
4.2
Product specifications may change from time to time which means that, if the specification has changed in the meantime, the information displayed on our Website when you place an order may not reflect the product you receive. If you think that the product you have received does not match its description, then you can reject it in accordance with Condition 9.8.
5.

Prices and Additional Charges

5.1
The price of the products and our delivery charges will normally be as quoted on our Website as at the time you use them and are inclusive of VAT. Delivery may be subject to an additional delivery charge.
5.2
We stock a large number of products and it is always possible that some of the products listed may be incorrectly priced. If a product's correct price is less than our stated price, we will charge the lower amount. If a product's correct price is higher than our stated price at the time your order is picked for delivery, we will notify you when we deliver that product to you and you can choose whether you want to accept or reject the relevant product. If you reject the product we will not charge you for it and will return it at our own cost. If you accept it, we will charge the correct price.
5.3
The government introduced a charge for plastic carrier bags in 2015, which means that by law we have to charge you for any plastic carrier bags used to deliver your order. In some cases, we may accept the return of used plastic carrier bags (to be handed to our driver) and in such case, we will reimburse you for each Morrisons plastic bag returned. Limitations may apply and we reserve the right to amend or cancel this policy at our discretion.
5.4
Where products are sold individually by weight (such as certain fresh meat, poultry, fish, cheese, fruit or vegetables) the price of these products will be the price per kilogram (or other appropriate unit of measurement) in force at the time of picking and we will charge you that price.
6.

Ratings and Reviews

6.1
When submitting a product review on the Website, you warrant that:
6.1.1
you are the sole author and owner of any intellectual property linked to the review;
6.1.2
the content of the review is accurate and not false or misleading;
6.1.3
you have voluntarily waived any moral rights that you may have in the content of the review; and
6.1.4
the use of the content of the review will not breach any of the Morrisons Terms, or cause harm to any person or entity.
6.1.5
You have purchased the product from morrisons.com and have not received any incentive to do so.
6.2
You undertake to us that you will not submit content:
6.2.1
that is defamatory, obscene, includes profanity, libellous, religiously or racially biased, hateful or unlawfully threatening, harassing to any person or entity or is otherwise objectionable;
6.2.2
that infringes any third party rights, including any copyright, patents, trademarks, publicity or privacy rights or other intellectual property rights or other rights;
6.2.3
where you have received any compensation or consideration for submitting the content. This restriction does not apply where we send a free product to you for the purpose of submitting a review;
6.2.4
that includes references to any other websites, addresses, email addresses, contact information or telephone numbers or in any other way, directly or indirectly, contains any information that does not relate to the product itself (e.g. reference to competing products or other irrelevant references);
6.2.5
that contains viruses, worms or other potentially damaging computer programs or files;
6.2.6
that violates any law, statute, ordinance or regulation (including, but not limited to, those governing export control, consumer protection, unfair competition, anti-discrimination or false advertising); and
6.2.7
that would constitute, encourage, promote or provide instructions for conduct of an illegal activity, criminal offence or civil liability.
6.3
You agree to indemnify us and our affiliates for all claims brought by a third party against us or our affiliates arising out of or in connection with a breach of any of the above undertakings.
6.4
We may want to share the content submitted with third parties, including for use on third party websites. Where this is the case, we will write to you and ask for your consent to do this.
6.5
We, at our sole discretion, may remove or refuse to publish submitted content for any reason. We will not be held responsible for any submitted content or content not published.
6.6
You have the right to access and the right to request erasure of your review. We do not amend reviews. Any published review which is found to be inaccurate or requires rectification, will be removed.
6.7
For any content submitted, you grant us a revocable, royalty-free, transferable right and licence to use, copy, delete in its entirety, publish, translate, create derivative works from and/or distribute the content and/or incorporate such content into any form, medium or technology, throughout the world without compensation to you subject to your data subject rights detailed in clause 15.6.
6.8
Morrisons, its agents, subsidiaries, affiliates, partners or third-party service providers and their respective directors, officers and employees are not under any obligation of confidence in relation to the content you submit.
6.9
By submitting a product review, you agree that we may use your email address to contact you about the submitted content, for administrative purposes or to request your consent as detailed in clause 15.4.
6.10
If you see a review on the Website which you are concerned about, for example, if you believe it breaches this clause 15, then you can notify us via the help hub here.
7.

Payment

7.1
All payments will usually be taken within two days of delivery. Payment for all products must be by credit, debit or charge card. We also accept payment using vouchers that we make available to you electronically for use on the Website. We do not accept any other vouchers (including those obtained in-store at Morrisons or otherwise).
7.2
Authority for payment will be requested from your card issuer when you place your order with us. This is done by "reserving" an amount of money against the card you have used for payment. The amount that is "reserved" will be decided by us, in our absolute discretion, and will be either:
7.2.1
the estimated amount of your order, including reasonable, approximate values for items whose price is determined by weight or is otherwise variable plus additional reasonable charges for plastic carrier bags (if applicable); or
7.2.2
the estimated amount of your order plus £5 or 5% to cover any substitutions or variable weight products.
7.3
Please note that the amount which is "reserved" may be different to the checkout total which is shown on screen at the time of checkout.
7.4
The amount which is reserved is not spent by you until we "debit" your card with the full price of your order after delivery, but will not be available to be used for payment to other parties. At the time payment is debited, the "reservation" will be cancelled, and replaced by the debited amount. In some cases, your card issuer may treat the final payment on delivery as a separate transaction to the "reservation". In the event that this occurs, the "reservation" will be cancelled, and the amount originally "reserved" will be released by your card issuer in line with your card issuer's timescales.
7.5
If the order is cancelled, either by you or by us, then the "reservation" will be cancelled within 7 days of the order being cancelled, and the funds "reserved" will be released by your card issuer in line with your card issuer's timescales.
7.6
Please note that the process of releasing the "reservation" is beyond the control of Morrisons and is dealt with by your card issuer. If you have any queries about this process, please contact your card issuer.
7.7
We reserve the right to terminate our contract with you if we are refused authority for payment or reasonably believe that payment will be refused at any stage. We will attempt to contact you if this is the case.
7.8
You agree to compensate us in full against all reasonable costs expenses and outgoings incurred by us in obtaining full payment from you in the event a failed payment occurs. This may include an administration charge of up to £20. We reserve the right at any time after a failed payment has occurred to ask a debt collection agency to assist in collecting payment from you.
8.

Discounts and Offers

8.1
We may offer discounts and offers from time to time at our discretion. All discounts and offers are subject to the relevant products being available to us and in stock when we pick your order for delivery. We reserve the right to amend or terminate any discount or offer at any time without notice.
8.2
We will always stipulate an expiry date for a discount or offer, which may be linked to the date of acceptance or delivery of an order. In such cases, to qualify your order must be accepted or delivered before the relevant expiry date.
8.3
You should refer to any specific discount or offer terms and conditions which will be available to you at the time for any further information.
9.

Cancellation, Refunds, and Returns Policy

9.1
You may amend or cancel your order before the cut-off time we provide to you. Any orders that have not been amended or cancelled by this cut-off time cannot be amended or cancelled and will be delivered by us in the scheduled delivery slot.

Changing your mind

9.2
For most of our products bought on the Website you have a legal right to change your mind about your purchase and receive a refund of what you paid for it, including the delivery costs.
9.3
If you changed your mind about a product you must notify Customer Services in writing or by filling in a cancellation form which can be found here and email it to customerservice@morrisonsplc.co.uk within 14 days from the day we deliver the products.
9.4
This right does not apply to (i) to perishable products; (ii) products that are personalised or otherwise bespoke to your instructions; (iii) sealed products where the seal has been removed or which otherwise cannot be returned for hygiene or health & safety reasons; (iv) supply of newspapers, periodicals or magazines; (v) sealed audio, video or computer products that have been unsealed.
9.5
Products cancelled in accordance with Condition 9.3 must be returned to us within 30 days of notifying us of the cancellation, following which will process the refund due to you within 14 days from the date we receive the returned products or from the date you provide us with proof that the products have been returned to us (whichever is earlier).

Defective Products

9.6
We advise that you inspect all products at the time of delivery or collection and notify us of any mis-described, incorrect or defective products ("Defective Products") promptly after delivery, as you will be entitled to a refund for any Defective Products.
9.7
If you received the relevant order in the previous [48] hours, you can request a refund through the Website. If more than [48] hours have passed since the relevant delivery, please contact Customer Services (details provided below) who will try to assist you. We reserve the right to ask you to send us reasonable evidence of any product affected by such issues.
9.8
We will arrange with you for the Defective Products to be returned to us and on receipt of the Defective Products, we will promptly and fully refund the price of any Defective Products or arrange for the delivery of replacement products.
9.9
To receive a refund of an affected perishable product though, you must notify us of any such issues before the expiry of the "use by", "best before" or "BBE" date stamped on the product
9.10
You are under a legal obligation to take reasonable care of the products to be returned whilst they are in your possession. If you fail to do so, we may have a right of action against you for compensation or to reduce the amount of any refund to you.
9.11
Where possible, we ask that you please return the products in their original packaging. Where this is not possible, please ensure that the products are packaged securely to help ensure that they reach us safely and in good condition.
10.

Our Liability

10.1
If we fail to comply with these terms and conditions, we shall only be liable to you for the purchase price of the products and other losses that you suffer as a result of our failure to comply which are a foreseeable consequence of such failure.
10.2
Nothing in these terms and conditions excludes or limits our liability for death or personal injury resulting from our negligence, breach of contract or breach of statutory duty, nor will any of these terms restrict any of your statutory rights if you are a consumer. For further information about your statutory rights, contact your local authority Trading Standards Department or Citizen's Advice Bureau.
11.

General

11.1
Neither we nor you will be responsible if we are unable to perform our obligations under the contract due to events which are genuinely beyond your or our reasonable control (as applicable).
11.2
Nothing under the contract shall give rights to any person who is not a party to it (whether under the Contracts (Rights of Third Parties) Act 1999) or otherwise.
11.3
We revise our terms and conditions from time to time. You will be subject to the terms and conditions in force at the time that a contract is formed between you and us (as set out above).
11.4
These terms are governed by English law and you can bring legal proceedings in respect of the products in the English and Welsh courts. If you live in Scotland you can bring legal proceedings in respect of the products in either the Scottish or the English courts. The European Commission provides for an online dispute resolution platform which you can access here: European Commission Online Dispute Resolution. If you have a complaint, or would like to bring a matter to our attention, please contact our Customer Services team in the first instance.

SECTION B: BUSINESS USER TERMS

14.

Background

14.1
These Business User Terms in Section B apply to you if you are a business customer only and should be read in conjunction with Sections A which shall remain in full force and effect. This Section B does not apply to consumers.
14.2
If there is a conflict between the conditions set out in this Section B and the terms of Section A, the terms of this Section B shall prevail.
15.

AMENDED CONDITIONS

15.1
Conditions 1.1, 1.2, 9.2 - 9.11 at Section A do not apply to you as a business customer.
16.

ADDITIONAL BUSINESS CONDITIONS

16.1
As a business customer, you must be a business which is operated by a person who is 18 years old or over and must have completed the registration process in order to place an order. The registration process may require you to provide some compulsory personal information which will be processed in accordance with our Privacy Notice available here.
16.2
As a business customer you do not have the right to cancel the contract at any time after the cut off time. Should you wish to cancel your order after the cut off period but prior to the time of delivery, we shall be entitled to charge you in full for an amount equal to the price of the items contained in your order and the cost of delivery.
16.3
We will always try to supply you with the full quantity of products that you have ordered. If you are not satisfied with the quantity that you have received, we will arrange with you for non-perishable products to be returned to us (please note that the products must not be used and must be in good condition). In the event that the products delivered to you are incomplete or include incorrect goods, you must notify us promptly. You will not be charged for any incorrect products or products, which you have not received.
16.4
Further to Condition 10 of Section A, we shall not be liable to you, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, for any loss of profit, or any indirect or consequential loss arising under or in connection with any contract between us.
16.5
You shall indemnify, and keep indemnified, Morrisons from and against any losses, damages, liability, costs (including legal fees) and expenses incurred by Morrisons as a result of or in connection with your breach of any of your obligations under the Morrisons Terms and Conditions of Sale.
16.6
As a business customer these terms constitute the entire agreement between us in relation to your purchase. You acknowledge that you have not relied on any statement, promise, representation, assurance or warranty made or given by us or on our behalf which is not set out in these terms and that you have no claim for innocent or negligent misrepresentation or negligent misstatement based on any statement in this agreement.
